For Paid Courses Provided by Spark the Fire Grant Writing Classes, LLC Spark the Fire Classes, LLC, dba Spark the Fire Grant Writing Classes, LLC, is solely owned and administered by Allison Welch.

1. General Provisions

1.1 These Terms of Service ("Terms") constitute a legal agreement between you (the "Participant") and Spark the Fire Classes, LLC, dba Spark the Fire Grant Writing Classes, LLC, registered at 329 Sprinting Peak Dr., San Marcos, TX 78666 ("Spark the Fire," "we," "us," or "our") for the purchase of a course, template, or training material from Spark the Fire ("Courses" and "Materials," respectively), including any printed materials and online documentation ("Documentation").

1.2 By clicking "purchase" on the Spark the Fire website, you agree to these Terms, which will bind you and, if you are purchasing on behalf of an organization, your organization's members. No sale of Courses or Materials will be completed, and no Documentation will be provided, unless you agree to these Terms.

1.3 These Terms apply to Courses conducted by Spark the Fire or by any third party on Spark the Fire's behalf.

1.4 These Terms take effect when you complete the online enrollment and purchasing process.

2. Supply of Courses

2.1 Spark the Fire will take reasonable measures to supply Courses and Materials in accordance with these Terms in all material respects, but reserves the right to change the content of any Course at any time.

2.2 Spark the Fire will take reasonable measures to meet any specified course dates, but such dates are anticipated only and may be subject to change.

2.3 Spark the Fire reserves the right to amend these Terms if necessary to comply with applicable law or regulatory requirements, and will notify Participants of any such change.

2.4 Spark the Fire reserves the right to cancel or reschedule any Course, in whole or in part, at any time, without incurring additional liability to the Participant, including if enrollment is insufficient to run the course or if Spark the Fire is prevented from delivering it by circumstances beyond its reasonable control. In such cases, Spark the Fire will offer, at its sole discretion, alternative dates, a full refund, or a credit.

2.5 Courses are delivered online unless otherwise agreed in writing for a specific engagement.

2.6 Spark the Fire will take reasonable measures to ensure Courses are delivered by suitably qualified people, and updates Courses and Materials on a regular basis. Spark the Fire makes no warranty that the content or quality of any Course or Material will meet a Participant's individual expectations, or that completing a Course guarantees any particular employment or business outcome.

2.7 The Certificate in Grant Writing and Business of Freelance Grant Writing courses are developed in accordance with continuing education standards recognized by the Grant Professional Certification Institute (GPCI) and the Grant Professionals Certification (GPC), and Spark the Fire's trainings are approved by CFRE International. Allison Welch is an approved trainer recognized by GPC, GPCI, and 501 Commons.

2.8 Spark the Fire reserves the right to refuse admission to, or require the removal of, any Participant where there are doubts about identity or qualifications, or where a Participant's behavior is unacceptable.

2.9 Spark the Fire reserves the right to withhold issuing a Certificate in Grant Writing credential if the Participant has not completed the required capstone assignment to a standard accepted under the published rubric.

3. Purchase Price

3.1 The purchase price for a Course is the price listed on the Spark the Fire website on the date of purchase, unless otherwise stated. The purchase price is due in full at the time of registration and is paid online through Spark the Fire's designated payment processor.

3.2 The purchase price does not include travel, accommodation, meals, or other related expenses unless explicitly stated.

3.3 Under current Texas Comptroller guidance, standalone charges for training or educational services that are primarily instructional in nature, including live, instructor-led courses that provide continuing education credit, are not subject to Texas sales tax. Spark the Fire does not collect sales tax on its live, instructor-led courses on this basis.

3.4 Spark the Fire reserves the right to offer discounts, sponsorships, or scholarships to any individual or organization where such an arrangement is documented in a separate agreement.

4. Cancellation and Refunds

4.1 Once a Participant has logged into a Course or viewed Course materials, no refunds will be issued. Full refunds are available before the course start date if the Participant has not yet logged in or viewed materials. For bundled purchases, no refund will be issued once any course within the bundle has been accessed.

4.2 Because all purchases are made entirely online, the FTC's Cooling-Off Rule (which applies only to in-person sales made away from a seller's regular place of business) does not apply to Spark the Fire's transactions. The refund policy in Section 4.1 is the complete and exclusive refund policy for all Course and bundle purchases.

4.3 Participants must notify Spark the Fire of any cancellation in writing to allison@sparkthefiregrantwriting.com.

4.4 If a Participant must cancel due to exceptional circumstances, they may request a full refund before the course start date. The request must explain the circumstance, why it was outside the Participant's control, and how it affects their ability to attend.

4.5 Spark the Fire will respond to any written complaint within thirty (30) days and will keep records of complaints and responses for five (5) years.

5. Participant Obligations

5.1 The Participant agrees to:

  • Cooperate with Spark the Fire on matters relating to the Course

  • Provide accurate and complete information reasonably required for course administration

6. Limitation of Liability

6.1 Courses are provided at the Participant's request, and the Participant is responsible for confirming that a Course suits their needs. Spark the Fire will use appropriate care in preparing and presenting its Courses.

6.2 Nothing in these Terms limits liability that cannot legally be limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

6.3 Subject to Section 6.2, Spark the Fire is not liable for loss of profits, business, income, goodwill, or data, or for any indirect or consequential loss, however arising.

6.4 Spark the Fire's total liability arising from or in connection with these Terms, the Courses, or the Materials is limited to the purchase price paid for the relevant Course or Material.

6.5 This Section 6 survives any termination of these Terms.

7. Intellectual Property

7.1 All intellectual property in or arising from any Course, including Materials and Documentation, is owned by Spark the Fire, whether customized for a Participant or not.

7.2 Spark the Fire certifies it holds the necessary intellectual property rights for its Courses, Materials, and Documentation, and that these do not infringe any third party's rights.

7.3 Without Spark the Fire's prior written consent, the Participant may not:

  • Copy, modify, reproduce, republish, sub-license, sell, upload, broadcast, post, transmit, or distribute any Materials or Documentation

  • Record or relay any Course by video, audio, or other means

  • Use Materials or Documentation to deliver any other training, whether through Spark the Fire or a third party

  • Remove any copyright or attribution notice from Materials or Documentation

8. Data Protection

8.1 The parties will comply with applicable data protection law and the Spark the Fire Privacy Policy, available at sparkthefiregrantwriting.com/privacy-policy.

9. Confidentiality

9.1 Either party may receive confidential information from the other in connection with these Terms. Confidential information does not include information that is or becomes public through no fault of the receiving party, was already lawfully known to the receiving party, is lawfully received from a third party, or is independently developed.

9.2 Each party will keep the other's confidential information confidential and use it only to carry out these Terms.

9.3 A party may disclose confidential information where required by law, regulation, or court order, giving the other party notice where legally permitted.

9.4 The Participant acknowledges that Spark the Fire may use their information on an anonymized basis, including in aggregated reports.

9.5 This Section 9 survives termination of these Terms.

10. Record Retention

10.1 Spark the Fire retains organizational records for at least five years, including records of participation, course dates, instructor and reviewer credentials, continuing education credits earned, program evaluation results, and course descriptive materials.

11. Course Update Policy

11.1 All Courses display their most recent revision date. Courses are updated as needed following changes to relevant standards, laws, or best practices, and reviewed at least annually for frequently changing subject matter, or at least every two years otherwise.

12. Content Development Policy

12.1 Each Course includes a statement confirming its content and level are appropriate for its intended audience, with prerequisites clearly identified where applicable.

12.2 Courses are developed by individuals with relevant subject-matter expertise, demonstrated through practical experience, education, or both.

12.3 Courses are reviewed by qualified individuals other than the original developer, both before first release and after significant revisions.

12.4 Courses include clear learning objectives describing the competencies Participants should gain.

13. Force Majeure

13.1 Spark the Fire is not liable for any failure or delay in performing its obligations under these Terms caused by circumstances beyond its reasonable control, including labor disputes, utility or network failures, acts of God, war, civil unrest, government action, or natural disaster, provided the Participant is notified of the event and its expected duration.

14. Entire Agreement

14.1 These Terms constitute the entire agreement between the parties regarding their subject matter and supersede all prior discussions or representations.

14.2 Spark the Fire may revise these Terms from time to time, including for regulatory or legal reasons. Continued use of Spark the Fire's services after a revision is posted constitutes acceptance of the updated Terms.

15. Severance

15.1 If any provision of these Terms is found invalid, illegal, or unenforceable in any jurisdiction, that finding will not affect the validity of the remaining provisions, in that jurisdiction or any other.

16. No Partnership or Agency

16.1 Nothing in these Terms creates a partnership between the parties or authorizes either party to act as the other's agent.

17. Governing Law

17.1 These Terms and any related dispute are governed by the laws of the State of Texas.

18. Jurisdiction

18.1 The parties agree that the courts of the State of Texas will have exclusive jurisdiction over any dispute arising from these Terms.

19. Notice

19.1 All notices under these Terms must be in writing and sent to the address provided by the Participant during purchase, or to Spark the Fire's address below, or to any updated address provided in writing. Notices are considered delivered when confirmed by registered or certified mail, recognized courier, or email.

20. Company Information

"Spark the Fire" and "Spark the Fire Grant Writing Classes" are trading names of Spark the Fire Classes, LLC.
